Position Summary:

The focus of this role is underwriting Representations and Warranties (R&W) insurance. The ideal candidate is a self-starter looking to help increase Liberty’s standing in the Canadian R&W marketplace, capitalizing on Liberty’s strong local brand and established broker network complimented by the global perspective and technical oversight of Global Transaction Solutions.

Duties and Responsibilities:

  • Business and legal review of public and private M&A deals, including analysis of risk, reviewing transaction documents, disclosure process, diligence reports and discussions with deal team as part of underwriting transactional risk insurance products
  • Assess insurability of risk, including negotiation and drafting of policy terms and conditions
  • Assist with expansion and maintenance of broker/client relationships to facilitate profitable growth of R&W products through sales calls and representing Liberty at industry events
  • Ensure consistency with underwriting protocols and product strategies
  • Continuously develop and expand expertise in R&W product lines and claims trends, keeping management abreast of local market developments
  • Collaborate with other Liberty business units in the identification or cross-marketing opportunities
  • Assist in developing Liberty’s position as a “go to” insurer with target brokers through service excellence and superior underwriting acumen

Skills & Qualifications:

  • Practicing lawyer in Canada with 2-5 years’ experience in corporate M&A
  • Detailed understanding of complex corporate structuring and financing arrangements with first-hand M&A deal experience
  • Specific knowledge of transactional legal exposures (market-standard reps and warranties and indemnity provisions)
  • Superior interpersonal skills and ability to collaboratively work with others
  • Strong written and verbal communication skills
  • Competency in legal drafting
  • General knowledge of and ability to comprehend financial statements a strong plus
